OcuRx LLC 30-Day Free Trial Agreement

Please read this agreement before submitting the customer form above.

Parties

This 30-Day Free Trial Agreement is entered into as of (the "Effective Date") by and between:

OcuRx LLC, a limited liability company, with a principal address of 330 SW 187th Ave, Pembroke Pines, Fl 33029 ("OcuRx"),

and

The customer identified in the fields above.

1. Device and Trial

1.1 Device. OcuRx will deliver to Customer one OcuLightRx low-level light therapy device, together with standard accessories, manuals, and related materials identified

1.2 Free Trial Period. Customers will receive the Device for a free trial period of thirty (30) calendar days beginning on the date the Device is delivered to Customer, as confirmed by tracking, delivery receipt, or written acknowledgment (the "Trial Period"). No credit card, deposit or purchase obligation.

1.3 Evaluation Use Only. During the Trial Period, Customers may use the Device for evaluation in the ordinary course of Customer's professional practice, instructions for use, and safety guidance.

1.4 Title During Trial. Legal title to the Device remains with OcuRx LLC during the Trial Period unless and until Customer purchases the Device under this Agreement.

2. Trial Outcome and Return Option

2.1 Election at End of Trial. On or before the last day of the Trial Period, Customer must do one of the following in writing:

• Elect to purchase the Device under Section 3; or
• Notify OcuRx that Customer declines to purchase the Device and arrange prompt return under Section 2.2.

2.2 Return if Not Purchased. If Customer declines to purchase the Device, Customer must return the Device to OcuRx, at OcuRx expense, so that it is shipped no later than three (3) business days after the Trial Period ends. Customers must return the Device in substantially the same condition as received, ordinary wear and tear from proper trial use excepted. We will provide a pre-paid return label for the return.

2.3 Damage or Missing Items. Customer is responsible for loss of or damage to the Device, except for normal wear and tear from proper use during the Trial Period. Customers will reimburse OcuRx for repair or replacement costs for any loss, damage beyond normal wear and tear, or missing accessories.

3. Purchase Price and Payment Terms

• Total Cost: $14,000
• Down Payment: If Customer elects in writing to purchase the Device under Section 2.1, a down payment of $2,000.00 is due on the first business day following expiration of the Trial Period.
• Installment Payments: 12 consecutive interest-free monthly payments of $1,000.00 each.
• Interest: 0% interest.

3.1 First Payment Date. If Customer elects in writing to purchase the Device under Section 2.1, the $2,000.00 down payment is due on the first business day following expiration of the Trial Period. The first monthly installment of $1,000.00 is due thirty (30) calendar days after the Trial Period expires, and each remaining installment is due on the same day of each successive month. Expiration of the Trial Period alone does not constitute an election to purchase or make the down payment due.

3.2 Method of Payment. Payments must be made by ACH, wire, check, or credit card. OcuRx will send an initial and recurring payment link via QuickBooks.

Customer acknowledgment

I have read and agree to the OcuRx LLC 30-Day Free Trial Agreement displayed above. I am authorized to act for the business named in this form. I consent to using electronic records and intend my typed name in the Signature field to serve as my electronic signature.
